By remitting payment for this invoice, the Customer agrees to the following terms and conditions of service for the repair and handling of industrial automation components performed by Omni Repair Services Inc. (hereinafter, "Omni Repair").

1. Payment Terms

Payment is due Net Thirty (30) days in Canadian Dollars (CAD) unless otherwise stated. A 2% discount is offered if payment is received within 10 days of the invoice date (2/10 Net 30)

2. Limited Repair Warranty

Omni Repair warrants that the services provided (parts and labor) for the component(s) identified on this invoice will be free from defects in material and workmanship for a period of twelve (12) months from the date the component is shipped back to the Customer.

This warranty covers only the specific fault(s) repaired and the parts replaced as documented on the service report. It does not cover: a. Failure due to misuse, neglect, accident, improper installation, improper testing, or operation outside of specified environmental limits. b. Subsequent failures of unrelated components or circuits within the unit. c. Components that have been serviced, altered, or tampered with by any party other than Omni Repair personnel.

If a warranted component fails within the warranty period, Omni Repair's sole obligation, and the Customer's exclusive remedy, is limited to, at Omni Repair’s option, the repair of the defective item or a refund of the repair price.

3. Limitation of Liability

OMNI REPAIR'S LIABILITY IS EXPRESSLY LIMITED. In no event shall Omni Repair be liable for any special, incidental, indirect, punitive, or consequential damages whatsoever, including, but not limited to, loss of profits, loss of production, downtime costs, or damage to associated equipment, whether based on breach of contract, warranty, tort, or any other legal theory.

Omni Repair's total maximum liability arising out of or related to this service shall not exceed the total amount paid by the Customer for the specific repair service reflected on this invoice.

4. Shipping and Risk of Loss

The Customer is responsible for all shipping costs to and from Omni Repair, including customs duties, taxes (such as HST/GST), and insurance. The risk of loss or damage to the component shall remain with the Customer at all times until physical receipt by Omni Repair and shall transfer back to the Customer immediately upon shipment from Omni Repair.

5. Repair Estimates and Unclaimed Property

Repair quotes are based on initial inspection and are considered estimates only. Omni Repair reserves the right to adjust the final price if additional parts or labor are required upon deeper diagnosis.

Any component left with Omni Repair for repair or evaluation, and for which the Customer has not provided authorization for repair or return, or has not paid the repair charges, for a period exceeding ninety (90) days after notification of status or completion, shall be deemed unclaimed property. Omni Repair may, at its sole discretion, dispose of or sell the unclaimed property, and retain any proceeds to offset storage, disposal, or unpaid service fees, without any further liability to the Customer.

6. Governing Law

These Terms of Service and all related services shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. The parties agree that the exclusive venue for any dispute arising under these terms shall be in the courts located in Toronto, Ontario.
